1. Scope of Application
These General Terms and Conditions (GTC) apply to all orders placed by our customers via the online shop of Cocoa Valley Suisse SA.

(hereinafter referred to as the “Cocoa Valley Online Shop”).
2. Offer and Conclusion of Contract
2.1 The presentation of products in the online shop does not constitute a binding offer but rather an invitation to place an order.
2.2 By clicking the “[Place Order]” button, the customer places a firm order for the products displayed in the shopping cart. After submitting the order, the customer can no longer modify it.
2.3 Upon receipt of the order, the Cocoa Valley Online Shop will send an order acknowledgment to the customer by email. The contract is concluded only when the Cocoa Valley Online Shop confirms the shipment of the goods by email (order confirmation or shipping confirmation), or, at the latest, upon delivery of the goods.
2.4 If the customer enters their details but does not complete their order by clicking the “[Place Order]” button, Cocoa Valley may send reminder emails asking if they wish to complete their order or if there are any technical issues. If the customer does not complete the order, their shopping cart will be deleted after 30 days.
3. Customer Account
3.1 The customer can browse and place orders on Cocoa Valley’s websites as a guest.
3.2 The customer also has the option to create a customer account on Cocoa Valley’s websites using their email address and a password of their choice. Only the name and email address are required to create the account. If the customer wishes to use Cocoa Valley’s delivery services, they will be asked to provide other personal information, such as their physical address for delivery and billing purposes, and their phone number so that Cocoa Valley can deliver the ordered products. If the customer has already provided this information in their account, their login details and information will be saved, and they simply need to log in to their account to place a new order. The customer account will also retain the purchase history. Once logged into their account, the customer can modify their data at any time. If the customer wishes to close their account, they can write to us at marketing@cocoavalley.ch.
3.3 If the customer decides to open a customer account with Cocoa Valley, they are responsible for ensuring that the personal information provided is accurate and up to date before placing an order. The customer must also ensure the confidentiality of the password chosen during login and that it is not disclosed to anyone.
3.4 Cocoa Valley reserves the right to refuse an order and/or terminate a customer account without prior notice if the account violates these General Terms and Conditions or if Cocoa Valley deems it in its best interest.
4. Data Protection
The customer’s personal data will be collected in strict compliance with legal requirements and processed in accordance with Cocoa Valley’s Privacy Policy.
5. Prices
5.1 The prices of the products indicated on the corresponding pages include the VAT applicable in the delivery country, as well as other price components. They are expressed in Swiss Francs (CHF), Euros (EUR), and Polish Zlotys (PLN). The VAT amount is specified separately after confirmation of the delivery address.
5.2 The applicable prices are those displayed on the day the customer places the order. The prices are firm and final until the order is confirmed by the Cocoa Valley Online Shop or for the duration mentioned in the order confirmation.
5.3 This is subject to price changes due to changes in taxation, fees, taxes, or shipping costs.
6. Shipping Costs
The shipment of ordered items is at the customer’s expense. Shipping costs consist of postage and packaging fees. A detailed overview of postage and packaging fees is available at any time on the page or via the “Shipping Information” link. It is also displayed before the order is confirmed.

We strive to deliver Cocoa Valley products in perfect condition. However, transport and delivery can sometimes cause damage to our products. In such cases, please contact us at info@cocoavalley.ch so we can find a solution together. If everything is delivered to your satisfaction, we would be happy to receive your positive feedback. The approximate delivery times for our shipments are as follows:
– Switzerland / Liechtenstein: approx. 2 working days
Delivery Conditions
Deliveries are shipped from Switzerland to the following destination countries: Switzerland, Liechtenstein, France, Germany, Italy, Austria, Netherlands, Belgium, Spain, Portugal, and Poland. The Cocoa Valley Online Shop cannot be held responsible for delivery delays beyond its control, e.g., in cases of force majeure, traffic jams, adverse weather conditions, unusual and unexpected customs delays, etc. Likewise, in these cases, the customer cannot exercise their right of withdrawal or claim damages. If certain ordered products are unavailable, the Cocoa Valley Online Shop is authorized to make partial deliveries. If the delivery of the goods fails despite three delivery attempts due to the customer’s fault, the Cocoa Valley Online Shop is entitled to terminate the contract. No refund will be issued in case of failed delivery (goods not collected, incorrect delivery address, etc.).
Payment
Payment deadline: Immediately upon receipt of the invoice.
Prices
The prices indicated on the product pages include the statutory value-added tax and other price components.
8. Payment Conditions
8.1 Payment is made in advance.
8.2 Payment is made by credit card, Apple Pay, Google Pay, Twint, or PayPal.
8.3 Credit card payments are debited immediately.
8.4 Set-off with customer claims is excluded.

9. Retention of Title
The goods remain the property of the Cocoa Valley Online shop until full payment of the purchase price and until shipment.
10. Right of Withdrawal
1. In Switzerland:
10.1 The consumer has the right to exercise their right of withdrawal within 14 days of receiving the goods. The date of dispatch of the withdrawal declaration is decisive for compliance with the deadline. No justification for the withdrawal is required. 10.2 The exercise of the right of withdrawal results in the termination of the sales contract. Consequently, the services received under the sales contract must be returned. The consumer is requested to return the goods in their original packaging to the Cocoa Valley Online Shop within 14 days of the date of the withdrawal declaration. The shipping costs for returning the goods are borne by the consumer.
10.3 After receipt of the goods, the purchase price will be refunded to the consumer, subject to any deduction for damaged or missing goods. If it is necessary to damage the goods to determine their nature and quality, no deduction will be made for the resulting loss in value. The Cocoa Valley Online Shop may delay the refund until receipt of the return or until the customer provides proof of shipment of the goods, whichever is earlier.
10.4 The right of withdrawal is excluded for the following products:
– Goods manufactured according to customer specifications;
– Goods specially manufactured according to the customer’s wishes;
– Perishable goods;
– Goods whose expiration date has passed.
2. Abroad:
10.5 Private customers (referred to as consumers) residing in the European Union have the following option instead of a right of withdrawal: Goods that are not perishable and have not been manufactured according to customer specifications or specially according to the customer’s wishes may be returned, without the need to justify the reason for the return, within 14 days of receipt of the goods or the date on which all information obligations regarding distance selling and online commerce have been fulfilled. This is provided that the goods are suitable for return and the expiration date has not passed. To meet the deadline, it is sufficient to ship the goods on time. The return of components of a set is only possible if the components in question are also sold separately in the Cocoa Valley Online Shop. The shipping costs for returning the goods are borne by the consumer.
10.6 In case of defects, the goods must be returned to Cocoa Valley Suisse SA, Route du Stand 19, CH-1260 Nyon – Switzerland. The return of the goods is at the expense and risk of the Cocoa Valley Online Shop. Refund obligations are fulfilled within 30 days of receipt of the goods. The Cocoa Valley Online Shop is authorized to deduct any replacement deliveries from the purchase price. In the case of a return of components of a set, the price reduction granted by the Cocoa Valley Online Shop for the entire set is no longer valid. Therefore, for the returned components, the customer only receives a refund equivalent to the difference between the price of the complete set and the price of the components they keep. To facilitate the processing of returned goods, we recommend returning them in their original packaging, enclosing the invoice or delivery note with the shipment, and using secure packaging.
11. Warranty
11.1 The warranty services provided by the Cocoa Valley Online Shop cover the removal of defects. For this purpose, the Cocoa Valley Online Shop will perform subsequent performance, i.e., the elimination of the defect (repair) or the delivery of goods free from defects (replacement delivery).
11.2 If subsequent performance fails, the customer is entitled to withdraw from the contract. This does not apply to minor defects. Any right of the customer to a price reduction is excluded.
11.3 The recipient undertakes to check the quantities and condition of the goods upon receipt of the delivery. Any claim regarding quality or quantities must be reported to the Cocoa Valley Online Shop immediately, or within a maximum of 24 hours after delivery. Otherwise, the delivery will be deemed accepted.
11.4 The Cocoa Valley Online Shop cannot be held responsible for damages occurring during transport or for damages caused by improper storage of the goods after they have been taken over by the customer or one of their assistants.
11.5 In case of defects, the goods must be returned to Cocoa Valley Suisse SA, Route du Stand 19, 1260 Nyon – Switzerland. The return of the goods is at the expense and risk of the Cocoa Valley Online Shop. Refund obligations are fulfilled within 30 days of receipt of the goods. 12. Liability
The Cocoa Valley Online Shop disclaims any liability for breaches of contractual obligations due to slight negligence. The same applies to breaches of contractual obligations caused by assistants or substitutes.
13. Applicable Law
13.1 Contracts are governed exclusively by Swiss law, excluding the Vienna Convention (CISG).
13.2 The exclusive place of jurisdiction is Ennenda, Glarus, subject to recourse to the Swiss Federal Court. In case of misinterpretation, only the German version shall prevail.
14. Final Provisions
If any clause of these General Terms and Conditions should prove to be null and void, this shall not affect the validity of the other clauses. The invalid provisions shall be replaced by the corresponding legal provisions.
